I currently lost my job and posted my resume publicly. A couple of days after posting my resume I receive the following email. I will attach all the correspondence I had with this individual. I feel terrible that others will fall for this scam.

I have a couple of questions. One is the part about partner's sharing any losses. Why would there be any losses if my only responsibility is to cash checks and forward money?

Another is the liabilities section. Whey would there be liabilities?

> Online and offline meetings: Periodic meetings shall be held as determined by the partnership.

> Objectives: The Associate Partner will carry out financial operations as needed in the name of our company. The Associate Partner shall present itself to the bank according to instructions received with the payment(s) and proceed to cash the funds on said payment(s). After the cash withdrawal the Associate Partner will send the funds to one of our office employees after subtracting the 10% base commission, speed bonus, fees and any and all costs pertaining to the job.

> Financial terms: The Associate Partner will receive the following payments for their work: 10% commission that is subtracted from the base value of the check, $1,800 monthly salary starting after the first month has passed, and speed bonuses. After the 2nd month has passed the base 10% commission is increased to 15% thereafter.

> Company obligations: The Company will send payments to the Associate Partner on a regular basis as well as clear instructions for each order. At the end of each month the Company will pay the stipulated salary as a cashier check plus other benefits as applicable.

> Management: All decisions shall be made by the mutual agreement of the partners.

> Profits and Losses: Net profits and losses of the partnership shall inure to, and be borne by the partners.

> Books of Accounts: Books of account of the transactions of the partnership shall be kept and at all times be available and open to examination by any partner.

> Annual Accounting: Each calendar year, a full and complete account of the condition of the partnership shall be made to the partners. The Company releases the 401(k) form for tax purposes in the appropriate period.

> Bank Account: The Associate Partner will use his or her personal bank account to fully withdraw all payments received from the Company. A 1099 tax form will also be issued by the Company after the first transaction has taken place. All fees incurred from processing payments as well as for any aid in doing so (gas, phone and Internet bills, etc.) will be subtracted before sending the remaining funds to the Company.

> Additional obligations: The Associate Partner agrees to follow and execute the instructions received from the Company to the letter as explained in this contract, to send the funds from the payments promptly, to keep the records and business relationship private from any third party. The Company agrees to assume complete financial responsibility, not to force the Associate Partner into any illegal action or contradiction with the law, to carry out all financial obligations towards the Associate Partner as stated in the present contract.

> Termination of Partnership: The partnership may be terminated by agreement of the partners. Written notice of termination of the partnership shall include a specific reference to this matter. The partnership shall be terminated without the need for a Court of Law in case that one of the parts breaks its obligations and after it has been warned through a written notification by the other party in regards of the violation. Payment shall than be made of all the liabilities of the partnership and a final distribution of the remaining assets either in cash or in kind, shall promptly be made to the partners or their personal representatives.

> No Compensation: No salary, bonuses, commissions or further payments will be granted if the Associate Partner breaks any of the conditions set forth by this contract.

> Voluntary Withdrawal: Any partner may withdraw at any time in accordance with the rules in the contract. The partner withdrawing has the duty to finish or close any remaining obligations. Written notice shall be deemed to be received as of the first meeting of the partnership at which it is presented. If written notice is received between meetings it will be treated as received at the first following meeting.

> Death or Incapacity of a Partner: In the event of the death or incapacity of a partner receipt of notice of such an event shall be treated as notice of full withdrawal.

> Terms of Payment: In the case of a withdrawal, any outstanding or due payments received by the Associate Partner must be resolved before contract termination.

> Forbidden Acts:

> No partner shall:

> 1) Have the right or authority to bind or obligate the partnership to any extent whatsoever with regard to any matter outside the scope of the partnership purpose.

> 2) Except as provided in the contract, without the unanimous consent of both sides, keep, transfer, or sell any and all materials related to this job, or enter into any agreement as the result of which any person or persons not a partner shall become interested with him in the partnership.

> 3) Use the partnership name, credit or property for other than partnership purposes.

> 4) Do any act detrimental to the interests of the partnership or which would make it impossible to carry on the purpose of the partnership.

> This Agreement of Partnership shall be binding upon the respective heirs, executors, trustees, administrators and personal representatives of the partners. The partners have caused the Contract of Partnership to be executed on the dates indicated below, effective as of the date indicated above.
