He asked for background on my company which I sent to him by email. He asked for a Proforma, which I sent by email.
He sent a term sheet for raising up to $5M with a $150,000 back end loaded payment. However there was no time frame for securing the investment and no ability to vet their contact with investors relative to my list of prior contacts. Moreover a flat back end load rate of $150,000 come with a guarantee of $5M raised or be prorated for what as raises. Then there was language in the term sheet that If i tried to get out of the deal at any time they would charge me $750,000. When I confronted them with the limitations of their term sheet they stopped communicating. I pressed them on making appropriate changes and in an email they said they decided to pass on the opportunity. Clearly this deceptive behavior. The lack of time frame in which they had to raises money would leave my company no option but to eventually call the deal off and that would trigger a $750,000 punitive payment. I think they were hoping I was naive and tie up my company. Desperate companies, might take this offer and get locked in regardless of whether BenchMark Sources could find money or not. What's more, if I obtained an investment from my personal prior out reach in 2024, BenchMark Solutions could claim that my termination after getting funds from elsewhere was a violation of contract and demand punitive damages of $750,000. This is a trap and a scam. At the very, BenchMark Solutions appear not to know what they are doing and lack professionalism that puts NY small business at great risk.
