I hope you're enjoying your vacation. We've been reflecting on our recent conversations and are excited about the opportunity to build our national platform for problematic media use treatment together.
An integral first step in working together will be integrating your practice into this national platform, in which you would hold an ownership stake. This is a key aspect of demonstrating to investors that we have a scalable foundation that will grow once others are trained.
This would constitute a revenue share of your current patients in exchange for a guaranteed base salary and equity in the platform. The equity component of your compensation would allow you to reap the rewards of training other clinicians, which is especially important given your current license being active in DC.
As discussed, the equity you receive will be taxed at the lower capital gains rate, as it is not W2 income.
